This Amendment No. 2 (this Amendment No. 2) amends and supplements the Tender Offer
Statement on Schedule TO (Schedule TO) filed with the Securities and Exchange Commission on May
22, 2009, as previously amended and supplemented on June 1, 2009, relating to an offer by NetApp,
Inc. (the Company) to employees of the Company (excluding executives and directors) who hold
certain options to purchase shares of the Companys common stock (such options, eligible options)
to exchange such eligible options for restricted stock units.
Pursuant to Rule 12b-15 under the Securities Exchange Act of 1934, as amended, this Amendment
No. 2 amends and supplements Item 12 of the Schedule TO in the manner set forth below, and all
other items and exhibits contained in this Schedule TO remain unaffected.

NetApp has obtained a tax ruling dated June 9, 2009 from the tax authorities in the Netherlands
confirming the tax treatment for the exchange of your eligible options for restricted stock units
and the tax treatment of any new restricted stock units granted to you in the exchange. The tax
ruling was favorable, which means you will not be subject to tax upon the exchange and any
restricted stock units will be taxable at the time of vesting. For additional information of the
tax consequences of the exchange and the new restricted stock units to be granted in the exchange,
please see Schedule N of the offering document.

NetApp has obtained a tax ruling dated June 11, 2009 from the Singapore tax authorities confirming
the tax treatment for the exchange of your eligible options for restricted stock units and the tax
treatment of any new restricted stock units granted to you in the exchange. The tax ruling was
favorable, which means you will not be subject to tax upon the exchange and any restricted stock
units will be taxable at the time of vesting. Further, participants who surrender their eligible
options for cancellation in exchange for cash in accordance with the terms of the option exchange
will be subject to tax on only the cash received. For additional information of the tax
consequences of the exchange and the new restricted stock units to be granted in the exchange,
please see Schedule O of the offering document.
